NOTICE TO PUBLIC COMPANIES
Capital Markets Authority (CMA) is an autonomous body, established in 1996 under the
Capital Markets Authority Act (Cap 84) 1996, to promote, develop and regulate the capital markets industry. CMA is governed by a Board of Directors appointed by the Minister of Finance, Planning and Economic Development.
Section 14 (1) of the Companies Act 1 of 2012 as amended in 2022 stipulates that the
code of corporate governance specifi ed in Table F of the Companies Act 1 of 2012 shall
apply to every public company that does not comply with any corporate governance
provisions or code prescribed under any other law.
Section 14 (4) of the Companies Act 1 of 2012 as amended in 2022 stipulates that
a company that has adopted the code of corporate governance shall annually fi le a
statement of compliance with the registrar and the Capital Markets Authority.
